Registering a business in Ghana is done with the Office of the Registrar of Companies (ORC). A Facebook page, a signboard, or a listing on Sen Gideons Spotlight does not replace that certificate. This guide walks through the structures the ORC registers, the fees in its 2026 schedule, and what a new owner still has to do after the certificate is issued.
Fees change. Before you pay, check the current schedule on the ORC website. The figures below are from the Office of the Registrar of Companies publication of newly approved fees and charges dated February 2026.
The form you fill, and the fee you pay, depends on how the business will be owned.
Most small shops, salons, and one-person services start with a business name. A company is the better fit when there will be shareholders, outside investment, or a need to separate the owner’s personal property from the business. If you are unsure, ask an accountant or lawyer before you file. You can search professional firms already listed on Sen Gideons Spotlight.
For a sole proprietorship, the ORC’s own service description sets this order:
The head office is inside the Registrar-General’s Department premises, opposite the Ghana News Agency, Accra. The digital address published by the ORC is GA-143-6447. Public hours are Monday to Friday, 9:00 am to 4:00 pm. The phone numbers published on the ORC site are 0308249841 and 0599525774, and the email is info@orc.gov.gh.
A registered business name has to be renewed every year. The 2026 schedule lists that renewal at GH₵70. The ORC has also said renewal can be paid with the USSD code *222#. A lapsed name is not a detail to leave until a bank or a landlord asks for the certificate.
A company limited by shares uses the company forms pack rather than Form A. The ORC forms page lists a private-company pack that includes Form 3, and a public-company pack that includes Form 3C. The incorporation also asks for a constitution, stated-capital details, and beneficial-ownership information: the people who ultimately own or control the company.
On the ORC page for a public company limited by shares, the Registrar asks for at least two directors, a consent letter from each director, a consent letter from the company secretary, and a consent letter from a qualified chartered accountant for the auditor. Statutory declarations have to be witnessed as the form requires. Do not assume a private company uses that same director count. Use the form pack for the exact structure you are registering.
After incorporation, annual returns are mandatory. The 2026 schedule lists filing of annual returns at GH₵175. The public-company page says the first return is due after 18 months, together with a financial statement, and then every year. Missing returns is expensive: the same schedule lists a penalty of GH₵1,000 for one to four years, and GH₵2,000 from five years upward. The penalty for not filing beneficial ownership is listed at GH₵500.
An ORC certificate shows that the name or company exists. It does not, by itself, finish the other registrations a trading business usually needs.
When the certificate and the working phone number are in hand, add the business to the directory. A listing should use the registered name, the real town, and a description of what you sell. List the business on the free plan, or compare placement on the pricing page if you want more photos and a higher position.
Customers searching Accra, Tema, Kumasi, and other towns start from the full listings page. A registered business that never publishes its name, category, and town is invisible to that search.
Ask which structure they will file, whether the fee they quote matches the current ORC schedule, and whether you will receive the certificate in your own name. Pay official fees to the ORC, not only to an agent. Keep a copy of Form A or the company documents, the receipt, and the certificate together.
